1. Introduction

Welcome to Brightenly (“we,” “us,” “our”).

These Terms of Service (“Terms”) govern your access to and use of our website, platform, and related services (collectively, the “Service”), operated by Brightenly K.K., a company registered in Japan.

By creating an account or using the Service, you agree to these Terms and our Privacy Policy.

If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Service.

By registering, you represent that all information you provide is accurate and truthful.

3. Description of Services

Brightenly provides a cloud-based Customer Relationship Management (CRM) and productivity platform designed to help freelancers and small businesses manage client relationships, projects, payments, and contracts efficiently.

Our Service enables users to:

  • Communicate with clients through integrated messaging and Gmail synchronization, allowing email conversations to appear directly within the Brightenly workspace.

  • Manage leads, projects, and customer information in a unified dashboard to streamline client communication and workflow management.

  • Automate data organization by analyzing message content to suggest lead relevance and populate contact records. This processing occurs securely under Brightenly’s control and solely to provide or improve the Service’s CRM functionality.

  • Create, send, and manage digital contracts securely using Docuseal.

  • Process client payments and subscriptions through Stripe.

  • Receive notifications related to system events and transactions via Postmark.

Brightenly continuously enhances its Service to improve performance, reliability, and user experience. We may add, modify, or remove features from time to time to maintain or improve the application’s functionality.

4. Account Registration

To use Brightenly, you must register for an account and provide accurate, complete, and up-to-date information.

You are responsible for:

  • Maintaining the confidentiality of your credentials.

  • Ensuring no unauthorized access to your account.

  • All actions taken through your account.

If you suspect unauthorized access, contact us immediately at contact@brightenly.io.

5. Subscriptions and Payments

5.1 Subscription Plans

Brightenly offers subscription plans designed to meet different business needs. Pricing and plan details are available on https://www.brightenly.io/pricing.

5.2 Payment Processing

All payments are securely processed through Stripe Payments Japan K.K..

By subscribing, you authorize Brightenly to charge your chosen payment method for applicable fees and taxes.

5.3 Renewal and Cancellation

Subscriptions renew automatically at the end of each billing cycle unless canceled.

You may cancel at any time through your account settings.

Upon cancellation, no additional payments will be made from the next billing cycle.

We do not provide refunds or prorations for partial billing periods.

6. Use of the Service

You agree to use the Service in compliance with all applicable laws and these Terms.

You must not:

  • Engage in unauthorized access, data scraping, or reverse engineering.

  • Upload or distribute malicious software or spam.

  • Interfere with or disrupt system integrity or security.

  • Use the Service to infringe on others’ intellectual property, privacy, or legal rights.

Violation of these rules may result in suspension or termination of your account.

7. Integrations and Third-Party Services

Brightenly integrates with trusted third-party providers to deliver core functionality:

Enables digital document signing and contract storage. Provides encrypted, legally binding e-signatures. Microsoft Corporation (Azure OpenAI) Processes email content for lead scoring and summarization. Operates under strong data protection and confidentiality terms.

Use of these integrations may also be governed by the providers’ respective terms and privacy policies.

8. Intellectual Property

All intellectual property rights in Brightenly, including the platform, design, logos, trademarks, and underlying software, are owned by Brightenly K.K. or its licensors.

You may not copy, modify, distribute, or create derivative works without prior written consent.

9. Termination

9.1 User-Initiated Termination

You may terminate your account at any time through your dashboard.

9.2 Brightenly-Initiated Termination

We may suspend or terminate your access to the Service if:

  • You breach these Terms or violate applicable laws.

  • You misuse the Service or jeopardize system security.

  • Required by law, regulation, or a legal request.

Upon termination, your data will be handled as described in our Privacy Policy.

10. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, express or implied.

We do not guarantee that:

  • The Service will be uninterrupted or error-free.

  • All data or content will be permanently available.

  • The Service will meet your expectations or specific requirements.

11. Limitation of Liability

To the fullest extent permitted by law:

  • Brightenly K.K. shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits, data, or goodwill.

  • Our total liability for any claim shall not exceed the total fees you paid to Brightenly in the three (3) months preceding the event giving rise to the claim.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to conflict-of-law principles.

Any dispute shall be submitted to the exclusive jurisdiction of the Tokyo District Court.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our operations, technology, or legal obligations.

The updated version will be published with a new “Last Updated” date.

We will notify you of significant changes via email or in-app notice.

Your continued use of the Service constitutes acceptance of the revised Terms.
